Section 1 CONSTITUTION

Article I
    Name:
       
The name by which this organization shall be known is the "Connestee Falls Fishing Club".

Article II
    Objectives:
       
1. To promote good fellowship.
        2. To promote the sport of fishing by:
            a. Educating
            b. Promoting fishing rules and regulations.
        3. To offer assistance the Connestee Falls Property Owners Association (CFPOA) in improving lake ecology.
        4. To offer assistance in establishing water safety programs.
        5. To sponsor fishing programs.

Article III
    Membership:
       
1. There shall be four types of membership. Those listed in a through c below are limited to residents of Connestee Falls.
            a. Family membership - for one or two adults in a household who are over eighteen years old and any resident children under
                eighteen years old. Additional persons over 18 years old in the household must obtain single-person memberships.
            b. Single-person membership - for one person over eighteen years of age.
            c. Lifetime membership - for Club members who have provided exceptional service to the Club for at least ten years and
                are selected by the Executive Committee.
            d. Honorary membership - Granted to persons who are not members of the Club or residents of Connestee Falls but have
                consistently provided exceptional service to the Club. Granting honorary membership must be recommended
                by the Executive Committee and requires approval of two-thirds of the membership attending a regular meeting.
        2. Dues for membership shall be as recommended by the Executive Committee and approved by the membership prior
            to the April meeting. They are payable at the April meeting.
             a. Dues for of a single-person membership shall be 50% of family membership.
             b. Lifetime and Honorary members shall not pay dues.
        3. Applications for new and renewed memberships will be distributed each year in April. Previous year's memberships
            expire May1. Membership accepted after November 1 will be valid for the remainder of that membership year and throughout
            the following year.

Article IV
    Officers and Committees:
       
1. Executive functions of this Club shall be vested in the elected officers, namely: President, Vice President,
            Secretary and Treasurer. All officers are limited to two consecutive one-year terms in the same position. These officers
            shall be installed at the Annual Banquet.
        2. There shall be an Executive Committee consisting of the four officers of the current term and all past presidents
            of the Club. Only current officers shall have a vote.
        3. There shall be the following standing committees:
            a. Awards Committee
            b Membership Committee
            c. Fishery Management Committee
            d. Outreach Committee
            e. Fish Fry Committee
            f. Nominating Committee
       4. The Chairpersons or Co-chairs of these committees are limited to two consecutive one-year terms in the same position.
            They shall be appointed by the President
        5. The Fishery Management Committee shall consist of five members, including the chair persons. The Chairpersons shall
            appoint its members.

Article V
    By-Laws:
       
This Club shall adopt By-Laws not inconsistent with the CFPOA Restrictive Covenants and Rules and Regulations and Policies
        as may  periodically be adopted by the CFPOA.

Article VI
    Amendments to the Constitution:
       
The Constitution may be amended at any regular meeting of the Club by a majority vote of the members present,
        provided the proposed amendment has been submitted to the membership in writing at a previous regular meeting.


Section 2 BY-LAWS

Article I
    Meetings :
       
1. Regular - The third Thursday of each month at a time and place determined by the Executive Committee,
            excluding September and December.
        2. Special - As deemed necessary by the Executive Committee, provided five days' written or oral notice be given
            to all members in residence.
        3. Annual - The date for the Annual Meeting and Banquet shall be determined by the Executive Committee.
        4. Executive Committee - Monthly at a time and place determined by the President, provided at least five days'

            written or oral notice is given to all members of the Committee.


Article II
    Elections:
       
At the June meeting, the President shall appoint a Nominating Committee of three members, designating a Chairperson.
        The nominating Committee shall submit its slate at the regular July meeting and accept nominations from the floor.
        The slate shall remain open to nominations up to the election at the August meeting. The election shall take place at
        the August meeting and shall be by a show of hands. If there are more than two candidates for an office, the candidate
        with the most votes shall win.

Article III
    Duties of Officers:
       
1. President - The president shall preside at all meetings and shall have general charge of and control over all the
            affairs of the Club, including appointment of Chairs and Co-chairs of committees. Should the office of the President
            become vacant, the order of succession for the remainder of the term shall be Vice-President, Treasurer, and Secretary.
            Should a vacancy occur in any other office, such vacancy shall be filled until the next election by the Executive Committee.
        2. Vice-President - In case of the absence of the president, the Vice President shall be vested with all powers to perform
            the duties of the President. The Vice-President shall perform such other duties as may from time to time be assigned
            by the President.
        3. Secretary - The Secretary shall keep a record of the minutes of all meetings of the members, shall give notice of
            meetings as provided by the By-Laws, shall have custody of all documents except such as shall be in the custody
            of the Treasurer, and may from time to time perform such other duties as may be assigned by the President.
        4. Treasurer - The Treasurer shall be responsible for the receipt and disbursement of all Club funds and shall
            keep an accurate and detailed record of all such transactions. Such records shall at all times be subject to inspection
            by any member of the Executive Committee. The Treasurer shall give a financial report at each regular meeting of the Club.

Article IV
    Amendments to the By-Laws:
       
The By-Laws may be amended at any regular meeting of the Club by a majority vote of the members present,
        provided the proposed amendment has been submitted in writing at a previous regular meeting.

Article V
    Rules of procedure:
       
1. Roberts Rules of Order, Revised, shall govern all actions of the Fishing Club meetings.
        2. The Chair shall decide all points of order. Those decisions shall be final.
        3. Twenty-five members shall constitute a quorum of any meeting of the members. A majority of voting members of
            the Executive Committee shall constitute a quorum of any meeting of the Executive Committee.

Article VI
    Fiscal Audit:
       
1. In September, the President shall appoint an Audit Committee of two members, designating a chairperson.
            The Audit Committee shall audit the fiscal records of the Club, for the period of November of the prior year through
            October of the current year. The Audit Committee shall be empowered to inspect any records, past or present,
            they deem necessary to complete the audit.
        2. The Audit Committee shall present its report to the President at the November meeting. The report will then be presented
            to the membership for their approval.

Article VII
    Funds Allocations:
       
1. The funds contained within the Fishing Club treasury shall not be used for purposes other than to enhance or otherwise
             promote the objectives stated in Article II of the Constitution.
        2. In order to facilitate normal business functions and activities, the Executive Committee shall have discretionary use of
            Fishing Club funds for non-budgeted items in an amount up to $200. Any proposed non budget expenses in excess of
            $200 shall require a prior vote by the membership at a regular meeting of the Club.
